1. The offer
M5 Legacio ("we", "us") offers whole units of the M5L token for purchase in exchange for USDT (BEP-20) on BNB Smart Chain at a fixed price of 0.10 USDT per M5L, through the private sale contract and the public sale contract published on the Transparency page.
A purchase is complete only when the sale contract records it and creates a grant in the sale vesting vault. The platform shows a purchase as settled only after independent verification of the on-chain receipt, the USDT transfer and the vesting grant.
2. Eligibility
You may purchase only if you have (a) registered an email address and verified it when we ask you to, (b) proven ownership of the purchasing wallet, (c) completed identity verification and been approved by our compliance review, (d) a country of residence that is not restricted, (e) accepted these terms, the Risk Disclosure and the Privacy Notice, and (f) an allocation set for your wallet on the relevant sale contract.
We may refuse, limit or withdraw an allocation at any time for compliance reasons. Allocations are not a right to purchase and are subject to round caps and timing enforced by the contracts.
3. No refunds, escrow or soft cap
The deployed sale contracts do not provide a soft cap, an escrow or a refund mechanism. Purchases are final once the transaction is included on BNB Smart Chain. Do not purchase if you require such protections.
4. Vesting and claims
Purchased M5L is granted to the sale vesting vault and unlocks according to the round schedule fixed in the vesting contract: private round 5% at the token generation event, a 90-day cliff, then linear release over 540 days; public round 15% at TGE, a 30-day cliff, then linear release over 300 days.
Claims are transactions you sign from your own wallet. We do not hold your keys and we will never claim on your behalf.
5. Self-custody and security
You are responsible for the security of your wallet, private keys and devices. We will never ask for your seed phrase or private key. Transactions cannot be reversed by us.
6. Referral programme
Participation in the referral programme is governed by the Referral Programme Terms.
7. Liability
To the maximum extent permitted by law, we exclude liability for losses arising from blockchain network conditions, wallet software, third-party providers, price movements, or your failure to secure your wallet. Nothing in these terms limits liability that cannot be limited by law.
8. Changes
We may publish a new version of these terms. Continued participation after acceptance of a new version in the investor portal constitutes agreement to that version. Versions and acceptance records are retained for compliance.
